The AMD Athlon MP OEM version is the same as the AMD Athlon MP Retail version but it does not come in the manufacturer's box and has only a twenty day warranty unless it says otherwise. AMD Athlon Retail versions have a three year warranty.  

The AMD Athlon Retail version comes with heat sink and fan. The OEM version does not. You may want to order a heatsink / fan also if you don't already have one.
